OFDM/OFDMA Audio Visual Tutorial License Agreement

The materials that are the subject of this Agreement shall consist of multimedia audio and video and documentation (hereinafter referred to as the "Licensed Materials").

This is a legal agreement between you and Silicon DSP Corporation covering your use of the OFDM/OFDMA Audio Visual Tutorial material.

Be sure to read the following agreement before using the Licensed Materials.

Licensee and its Authorized Users acknowledge that the copyright and title to the Licensed Materials and any trademarks or service marks relating thereto remain with Licensor and/or its suppliers. Neither Licensee nor its Authorized Users shall have right, title or interest in the Licensed Materials except as expressly set forth in this Agreement.

This is copyrighted Licensed Materials. The Licensed Materials is owned by Silicon DSP Corporation and is protected by United States copyright laws and international treaty provisions. Therefore, you must treat the Licensed Materials like any other copyrighted material (e.g., a book or musical recording).

Distribution of the Licensed Materials is restricted without permission of Silicon DSP Corporation. We are more than happy to allow you to distribute our Licensed Materials, but you must first have a license to do so. Contact Silicon DSP  Corporation for details on obtaining a license.

You may not rent or lease the Licensed Materials, nor may you modify, adapt, translate, reverse engineer, decompile, or disassemble the Licensed Materials.

 

Delivery/Access of Licensed Materials to Licensee

Licensor will provide the Licensed Materials to the Licensee in the following manner:

Network Access. The Licensed Materials will be stored at one or more Licensor locations in digital form accessible by telecommunications links between such locations and Licensee.

File Transfer. Copies of the Licensed Materials will be provided to the Licensee through electronic transfer (by means of HTTP or otherwise).

Limitations on Warranties

The Licensed Materials and related documentation are provided "AS IS" and without warranty of any kind and Silicon DSP Corporation expressly disclaims all other warranties, express or implied, including, but not limited to, the implied warranties of merchantability and fitness for a particular purpose. Under no circumstances shall Silicon DSP Corporation be liable for any incidental, special or consequential damages that result from the use or inability to use the Licensed Materials or related documentation, even if Silicon DSP  Corporation has been advised of the possibility of such damages.

This Agreement shall be governed by the laws of the State of Nevada. If for any reason a court of competent jurisdiction finds any provision of this Agreement, or portion thereof, to be unenforceable, that provision of the Agreement shall be enforced to the maximum extent permissible so as to effect the intent of the parties, and the remainder of this Agreement shall continue in full force and effect.

The Licensed Materials and documentation are provided with RESTRICTED RIGHTS. Use, duplication, or disclosure by the Government is subject to restrictions as set forth in subdivision (b)(3)(ii) of The Rights in Technical Data and Computer Software clause at 252.227-7013.
